Alpha Compute has expanded into mobile gaming by acquiring a controlling interest in GAMEE for up to $11 million, valuing it at $18 million.

A Nasdaq-listed company recently expanded into mobile gaming, signaling a significant trend in the Web3 gaming sector.

On May 27, Alpha Compute Corp finalized its agreement to acquire a 60% controlling stake in GAMEE for a total investment of up to $11 million. This acquisition values GAMEE at approximately $18 million. For perspective, GAMEE operates as a mobile gaming and digital rewards platform on Telegram, boasting around 120 million registered users. This transaction breaks down to about 15 cents per user.

Understanding the deal structure reveals several nuances. The $11 million isn't a lump-sum payment; rather, it incorporates a performance-based earn-out that will be distributed over two years. GAMEE's leadership must meet specific milestones to access the full amount. Notably, a standstill agreement is also in place with Animoca Brands, the parent company of GAMEE.

In this new arrangement, co-founder Bozena Rezab is set to lead a newly formed division named Alpha Games, taking on the role of Executive Vice President. Other executives will continue in their current positions, with Martin Zakovec remaining CEO and Miroslav Chmelka serving as Co-Founder and CTO.

Alpha Compute, which recently rebranded from AlphaTON Capital Corp to align more closely with its focus on AI compute infrastructure, considers this step a logical progression of its core business. They envision creating AI-driven, agent-centric gaming experiences.

In terms of financial performance, GAMEE forecasts revenues of $3.5 million for 2025, with nearly $1 million generated in the first quarter alone. Evaluating the acquisition, at an $18 million valuation against projected revenues, places GAMEE's price at about five times its revenue.

Following the acquisition’s conclusion, Alpha Compute intends to purchase $2 million worth of GMEE tokens from the market within 90 days.
