Brera Holdings PLC, also known as Solmate Infrastructure and trading on Nasdaq as SLMT, recently achieved a surprise re-election of all five incumbent directors at its 2026 Annual General Meeting held in Abu Dhabi. This decision came despite a strong recommendation from an independent proxy advisor to vote against the current board members. A total of 71.49% of outstanding shares were represented during the vote, with support for the directors ranging from 62% to nearly 70%. This outcome strongly challenged the opposition efforts that had accumulated over several weeks.

A notable development preceded the AGM when RBCH Ltd., the largest external shareholder with a stake greater than 10%, filed a derivative lawsuit against the board. This legal action, initiated just days before the AGM, alleged breaches of fiduciary duty and self-dealing practices related to a registered direct offering executed in May 2026. In particular, the lawsuit claimed that two board members purchased shares at a price that significantly eroded the value for other shareholders, amounting to an $18 million dilution.

Despite the proxy advisor's adverse recommendation, institutional shareholders largely opted to maintain the existing board. The governance issues raised throughout the dispute, including board independence and a poison pill arrangement introduced earlier that year, persist and still warrant close attention by investors and analysts alike.
