Zhibao Technology, a Shanghai-based company listed on Nasdaq as ZBAO, has successfully closed an unconventional fundraising deal worth $154.7 million. This PIPE financing is unique because it is entirely supported by 2,380 Bitcoin, which are valued at $65,000 each based on July 30 market prices. The market reacted positively, resulting in a remarkable 79% increase in ZBAO’s stock following the announcement.

How does PIPE financing benefit companies like Zhibao? PIPE, which stands for Private Investment in Public Equity, allows publicly traded companies to sell shares directly to chosen investors, simplifying the often complex public offering process. For Zhibao, this involved issuing 442 million units priced at $0.35 each to select non-U.S. investors. Each unit consists of one Class A ordinary share along with a warrant that can be exercised at $0.35 over two years.

The transaction is anticipated to complete within 12 business days, contingent upon obtaining necessary share authorizations from Nasdaq and other regulatory approvals.

What adjustments were made in this financing deal? Initially, Zhibao aimed for a larger PIPE of approximately $220 million, which would have involved around 3,500 Bitcoin. However, the final agreement was scaled back to reflect a reduction of roughly $65 million and 1,120 Bitcoin, focusing on more immediate fundraising needs.

Funds from this round will be used to support Zhibao's operations, advance business development, and enhance AI-driven research and development for its InsurTech platform. Moreover, the company has strategic plans to accumulate Bitcoin as a digital asset reserve.

Founded in 2020, Zhibao operates a ‘2B2C’ model that integrates insurance solutions into other business ecosystems, offering over 40 proprietary solutions designed to enhance customer journeys.

What governance changes are tied to this financing arrangement? As part of the financing agreement, Zhibao is restructuring its governance. The board will be reduced to five members, and most existing directors will resign, allowing for the introduction of leadership appointed by investors. However, the Chairman and CEO, Botao Ma, will retain his director position.

Additionally, the warrant structure introduced in the deal raises potential concerns. Should these warrants be exercised, there will be an influx of 442 million new shares into the market at the same price, posing a risk of dilution for current investors.
